Abstract

Codes of Conduct set principles and values designed to guide employees’ behaviors. With globalization and the challenges posed by the advancement of market economies, they are also important instruments to help companies operating in foreign countries bridge cultural gaps and inspire their employees toward a more ethical corporate culture. The present paper will serve as a guide for how these instruments are designed and how important they are in helping companies strengthen their corporate governance. This paper presents a timeline of the legislation that inspired Codes of Conduct and corporate compliance initiatives. The research included a reading of various corporate Codes of Conduct in different sectors. Relevant provisions that add value to the development of ethical corporate cultures are cited. Finally, the paper offers recommendations for drafting and implementing effective Codes of Conduct.
