Abstract

This paper uses a carefully constructed hypothetical case—the Heritage Preservation League (HPL)—to illuminate how procedural nullities in non-profit governance can render corporate actions void ab initio and expose fiduciaries to personal liability. The vignette centers on a “midnight” meeting conducted with a defective quorum (a resigned director counted toward quorum), an unagendized and improvised appointment of a President, and the subsequent authorization of litigation funded by the organization’s treasury. Through this narrative, the article synthesizes doctrine from Ontario and Delaware to explain how such procedural breaches collapse the legitimacy of Board actions and trigger abusive process triggers under civil procedure rules.

The analysis juxtaposes Ontario’s Rules of Civil Procedure (notably Rule 21.01(3)(d)) and the Ontario Courts of Justice Act framework with Delaware’s Court of Chancery jurisprudence (including Rule 12(b)(6) and the concept of “inequitable conduct”), highlighting the common thread: a lack of proper authorization forecloses the “corporate will” and can lead to immediate strike or stay remedies. Central to the argument is the heightened risk to an “expert” director, here a lawyer-VP, whose fiduciary duty to enforce bylaws and notice requirements raises the specter of personal cost orders under the “true litigator” and bad-faith doctrines.

Beyond doctrinal synthesis, the paper offers governance-focused implications: concrete best practices to prevent such failures, mechanisms for early detection, and policy recommendations for strengthening board controls, transparency, and accountability. The hypo serves as both a cautionary tale and a practical blueprint for safeguarding organizational authority and directors’ personal exposure.
